Responsibility, warranties and limitations
of drone detection and mitigation systems
1. Product description, nature of the system, and OEM components.
The client has acquired a professional drone detection and/or jamming system, developed, integrated and supplied by ASDT Corporation S.L.U. (hereinafter referred to as ASDT), intended exclusively for use in professional, institutional, industrial or high-security environments. Said system does not constitute a consumer product, nor is it designed for use by non-professional end-users.
The anti-drone system is a complex technological solution, based on the functional integration of different hardware and software subsystems which, jointly, enable the detection, analysis, identification, and, where appropriate, mitigation of certain unmanned aerial threats. The overall performance of the system necessarily depends both on the correct interaction between these subsystems and on the technical, operational, and environmental conditions of the environment in which it is deployed.
The client expressly acknowledges and accepts that all components forming part of the anti-drone system are OEM (Original Equipment Manufacturer) components, understood as those manufactured by specialised and approved third-party manufacturers, in accordance with international industrial and regulatory standards, and integrated by ASDT within its own architecture designed, validated, and verified by ASDT.
ASDT acts, for all intents and purposes, as the manufacturer and integrator of the complete system, being responsible for the correct selection, integration, and functional validation of its components, but not for the individual manufacture of each of these OEM components. The technical characteristics, tolerances, operating limits, and conditions of use of the OEM components are determined by their respective manufacturers and form part of the inherent limitations of the system.
The customer agrees that any unauthorised substitution, modification, tampering or maintenance of OEM components may significantly affect system performance and will result, where applicable, in the exclusion of warranty and any liability on the part of ASDT.
The anti-drone system must, in any event, be understood as a technological risk mitigation tool, and not as an absolute guarantee of detection, identification or neutralization of specific threats.
2. Normal operating conditions and uncontrolled radio frequency environment.
For the purposes of this disclaimer, the system shall be deemed to be operating under normal operating conditions when it has been correctly installed, configured and validated by ASDT or by personnel expressly authorised by it, is used in accordance with the official technical documentation supplied, is maintained within the technical and operational limits for which it has been designed and is operated by properly trained and qualified personnel.
The correct functioning of the system also requires that preventive and corrective maintenance be carried out in accordance with the technical specifications, schedules, and procedures defined by ASDT, and that the system has not undergone unauthorised modifications, integrations, or extensions. Any functioning outside of these conditions will be considered non-compliant use, automatically excluding it from the scope of ASDT's warranty and responsibility.
The customer expressly acknowledges and accepts that drone detection and inhibition systems operate in an open, dynamic and uncontrolled radioelectric environment, characterised by the concurrency of multiple emitters, intentional or unintentional interference, spectrum saturation, orographical and environmental conditioning factors, as well as possible normative or regulatory changes.
Consequently, ASDT cannot guarantee absolute results nor the one hundred percent detection, identification or inhibition of threats, as the system's performance depends on external factors beyond its control.
3. Scope and limits of manufacturer liability.
ASDT undertakes to design, manufacture and integrate the system in accordance with the state of the art existing at the time of its supply, and for the system to operate in accordance with the technical specifications described in the official documentation, provided it operates under normal operating conditions.
The system's functionalities do not constitute a guarantee of total coverage of the protected space nor a promise of effective neutralisation of specific threats, but rather technical capabilities subject to operational conditions and inherent limitations.
ASDT does not guarantee concrete operational results, nor the complete absence of failures, false alarms, or undetected events, nor the effective neutralisation of all possible threats.
The liability of ASDT, whatever its legal basis – contractual, tortious, statutory or otherwise – shall be limited exclusively to those cases in which it is duly proven that the damage is a direct, exclusive and immediate consequence of a manufacturing or integration defect of the system attributable to ASDT, acting in its capacity as manufacturer and integrator of the complete system.
Technical limitations, operational tolerances or functional restrictions inherent to the OEM components integrated into the system, whose characteristics, specifications and limits are determined by their respective manufacturers, nor the limitations inherent to the state of the art existing at the time of supply, shall not be considered defects attributable to ASDT.
ASDT's liability shall in any event be conditional upon the system having been installed, configured, operated, and maintained strictly in accordance with normal operating conditions, official technical documentation, start-up procedures, and maintenance plans defined by ASDT. Any deviation from these conditions, unauthorised tampering, unapproved integration, or improper use of the system shall result in the automatic exclusion of the warranty and of any liability of ASDT.
In any case, ASDT's total, accumulated, and maximum liability to the client, for all intents and purposes, shall be expressly limited to the amount effectively paid by the client to ASDT for the specific system that gave rise to the claim, expressly excluding any amounts corresponding to ancillary services, additional integrations, contractual penalties assumed by the distributor towards third parties, own commercial commitments, or damages not directly linked to the supplied system.
4. Manufacturer's warranty period.
ASDT guarantees that the supplied drone detection and inhibition systems will be free from manufacturing and assembly defects for a period of twelve (12) months from the system's delivery date, unless a different period has been expressly agreed in writing.
During the said period, and provided the system has been used in accordance with the normal operating conditions defined in this disclaimer, ASDT shall, at its sole discretion, repair or replace defective components directly attributable to its manufacturing or integration.
The customer acknowledges and accepts that batteries and perishable items are subject to natural wear and degradation through use, and in the case of batteries, due to charging, discharging, and storage conditions. Consequently, the warranty period for consumables and batteries will be six (6) months from the system's delivery date, with said warranty being limited to manufacturing or assembly defects attributable to the manufacturer, and normal degradation due to use being expressly excluded.
This warranty constitutes the sole warranty granted by ASDT, to the maximum extent permitted by applicable law, any other express or implied warranties are excluded.
5. Situations that void the warranty.
Notwithstanding the specific exclusions provided in this disclaimer, the manufacturer's warranty shall be automatically void, without prior notification from ASDT, when the system or any of its components have been subjected to actions, uses, or circumstances that alter the conditions under which it was designed, integrated, and validated.
In particular, the warranty shall be null and void in any of the following circumstances: use of the system for purposes other than those intended; installation, commissioning, reconfiguration, relocation or maintenance by unauthorised personnel; tampering, opening, modification or repair by unauthorised third parties; replacement of OEM components with non-approved ones; integration with systems or infrastructures not validated by ASDT; lack of maintenance in accordance with the manufacturer's specifications; damage resulting from accidents, negligence, vandalism, sabotage, extreme environmental conditions or external causes; damage produced during transport or storage not managed by ASDT; use of the system in radio environments incompatible with its technical specifications; or non-compliance by the customer with the legal, regulatory or administrative obligations necessary for the installation or use of the system.
In such cases, ASDT shall be released from any obligation of repair or replacement under warranty, without prejudice to its ability to offer, at the customer's request, out-of-warranty services that will be quoted and invoiced according to current rates.
6. Limitation of Liability.
ASDT shall not assume any liability for operational failures, unachieved results, false alarms, undetected events, or incidents arising, directly or indirectly, from interference, saturation, or alterations to the radioelectric environment; from technological evolution of drones, threats, or countermeasures; from environmental or orographic conditions; from integrations with third-party unapproved systems, infrastructures, or networks; nor from the technological evolution of drones, threats, or countermeasures subsequent to supply, unless expressly agreed otherwise in writing.
ASDT expressly disclaims any liability for indirect, consequential, incidental, or special damages, including, but not limited to, loss of profits, loss of business, loss of contracts or commercial opportunities, loss of data, reputational damage, administrative sanctions, contractual penalties imposed by end customers, or claims made by third parties.
ASDT assumes no responsibility for security incidents arising from the operation of drones or other unmanned aerial systems.
The limitations and exclusions of liability set out in this disclaimer shall not apply in cases where, in accordance with mandatory applicable law, such limitation or exclusion is not legally valid. In such cases, ASDT's liability shall be governed exclusively by the mandatory applicable legislation.
7. Distributors, integrators, support, applicable law and jurisdiction.
Unless otherwise expressly agreed, distributors, commercial agents, integrators or third parties involved in the marketing, installation or commissioning of ASDT systems act in their own name and under their sole responsibility, and are not authorised to assume commitments, guarantees or obligations on behalf of ASDT without its express written authorisation.
ASDT shall only assume support, maintenance, or repair obligations when such services have been contracted directly with ASDT or are expressly included in the contract signed with the customer.
This disclaimer shall be governed by and construed in accordance with Spanish law, with express submission to the Courts and Tribunals of the city of Madrid, waiving any other jurisdiction that may apply.
8. Warranty claim process.
Any warranty claims relating to the system must be communicated to our customer service department by emailing support@asdt.eu within the applicable warranty period, as soon as the customer becomes aware of the defect or incident, and in any event without undue delay.
The claim shall include a detailed description of the incident, the circumstances in which it occurred, the operating environment, as well as any technical information reasonably required by ASDT to carry out a preliminary diagnosis, including records, logs, configurations, or technical evidence.
ASDT will be able to carry out remote diagnostics beforehand. If the origin of the incident cannot be determined remotely, ASDT may require the system or affected components to be sent to its facilities or those of an authorised centre.
Once the technical analysis has been carried out, ASDT will issue a report determining whether the incident is covered by the warranty. If it is, the repair or replacement will proceed in accordance with the provisions of this disclaimer. If it is not, ASDT may offer a quote for out-of-warranty repair or adaptation.
Transport, dismantling, reinstallation, travel, or other associated costs not expressly included in the warranty will be borne by the customer, unless otherwise expressly agreed.
